Welcome to Voxelo! These Terms of Use (“Terms”) govern your access to and use of the Voxelo website, platform, mobile applications, and related services (collectively, the “Services”). By using Voxelo, you agree to these Terms, which form a legally binding agreement between you and Voxelo Ltd, a company registered in the United Kingdom.

If you are using Voxelo on behalf of a company, organisation, or other entity, you represent that you have the authority to bind them to these Terms.

1. Using Voxelo

Voxelo helps you transform simple product videos into immersive, interactive 3D content and visual assets. To use Voxelo, you must:

• Be at least 13 years old (or the minimum age required in your country)

• Provide accurate, current, and complete account information

• Keep your login details secure and not share your account

You are responsible for all activity under your account and must notify us immediately of any unauthorised use. If we have previously banned or removed your account, you may not create another without our written permission. Each user must maintain a unique account and email. Unauthorised sharing may result in suspension or termination.

Some features may require linking to third-party services (e.g. ecommerce platforms or app marketplaces). Voxelo is not responsible for the content, accuracy, legality, availability, or behaviour of third-party services.

Voxelo operates globally but is based in the United Kingdom. You agree to comply with all applicable laws. All data is processed in accordance with UK GDPR and relevant international data protection laws.

Businesses may authorise team access. Account holders are responsible for team compliance with these Terms. Impersonation or false information is strictly prohibited.

2. Subscriptions & Billing

Some Voxelo features require a paid subscription. When you subscribe, you:

• Agree to pay all fees and applicable taxes

• Authorise recurring billing unless cancelled at least 5 days before renewal

• Acknowledge that payments are non-refundable

Monthly plan credits do not roll over and reset each month.
Annual plans provide access to the full annual allowance from the date of purchase.

Free trials may be offered. You will be charged unless cancelled before the trial ends.

Subscriptions renew automatically. Pricing changes will be communicated in advance. Payments are processed by trusted third-party providers.

If payment fails, access may be suspended. You may cancel at any time via account settings; access continues until the end of the billing period.

3. Your Content

You retain ownership of the original content you upload to Voxelo, including videos, images, and related materials (“Your Input Content”).

Voxelo may generate different outputs from Your Input Content, including:

• 3D models, digital twins, AR experiences, and interactive 3D outputs (“3D Assets”)

• 2D assets, such as product imagery, lifestyle imagery, renders, and visual derivatives (“2D Assets”)

By using Voxelo, you grant Voxelo a worldwide, non-exclusive, royalty-free licence to host, store, process, modify, and display Your Input Content as required to operate, deliver, maintain, and improve the Services.

You are responsible for ensuring you have all necessary rights to upload and use Your Input Content. Voxelo disclaims liability for disputes relating to content ownership or rights.

If you choose to share content publicly, Voxelo may feature it in marketing materials unless you opt out by emailing hello@voxelo.ai.

3A. AI Use & Data Transparency (3D and 2D Assets)

Voxelo uses artificial intelligence and automated systems to operate, improve, and evolve the Services.

How AI Is Used

AI systems may be used to:

• Convert videos into 3D Assets

• Generate, enhance, and optimise 2D Assets

• Improve visual quality, realism, performance, and automation

• Develop new features, formats, and workflows

Use of Content for AI Training

As part of operating and improving Voxelo, we may use:

• 3D Assets and 2D Assets

• Data derived from the creation process

• Usage data and system outputs

to train, fine-tune, test, and improve our AI models and Services.

Where reasonably practicable, this data is aggregated, anonymised, or de-identified, and used in ways that do not expose proprietary products, branding, or confidential information. Voxelo does not use customer content to recreate identifiable products or enable third parties to reverse-engineer assets.

Personal Data

If any content includes personal data, Voxelo processes it in accordance with UK GDPR, EU GDPR, and our Privacy Policy.

Our lawful bases for processing may include:

• Performance of a contract

• Legitimate interests (such as improving and securing Voxelo)

• Consent, where required by law

3B. Generated Assets & Ownership

3D Assets

3D Assets are created using a combination of Your Input Content and Voxelo’s proprietary technology, pipelines, and AI systems.

Unless otherwise stated in your subscription plan:

• You are granted a licence to use 3D Assets, subject to the usage limitations below

• Voxelo retains ownership of the underlying technology, system-generated elements, processes, and AI models used to create 3D Assets

2D Assets

2D Assets generated through Voxelo:

• May be downloaded, reused, distributed, and published

• May be used across multiple websites, platforms, marketplaces, and channels

without restriction, unless otherwise stated in your subscription plan.

Voxelo does not retain usage or distribution rights over 2D Assets beyond what is required to operate the Services.

3C. Account Closure & Asset Retention

If your account is closed or your subscription ends:

3D Assets

• Access to 3D Assets ends at the close of the billing period

• Voxelo may retain 3D Assets and related system data

• Only plans that explicitly include 3D Asset export or portability rights allow you to retain copies of 3D Assets after account closure

• Exports must be completed before the subscription ends

2D Assets

• Any 2D Assets downloaded or exported during your subscription remain yours to keep and use without limitation

Voxelo may retain certain data after closure for legal, compliance, security, dispute resolution, and service improvement purposes.

3D. Usage Scope & Distribution Rights (3D Assets Only)

Unless otherwise stated in your subscription plan, your right to use 3D Assets is limited to a single owned and operated digital property (for example, one ecommerce website or app associated with your brand).

Use of 3D Assets across:

• Multiple websites or domains

• Brand-owned regional or international sites

• Marketplaces or third-party retail platforms

• Retailer, distributor, or partner websites

• Product data syndication networks

is not included by default and may require an upgraded plan or separate agreement.

This limitation does not apply to 2D Assets, which may be freely distributed and syndicated.

4. Fair Use

We believe in empowering people to create responsibly and transparently.

Unless you have Voxelo’s express written permission, you agree not to:

• Reverse engineer, copy, iframe, resell, sublicense, white-label, or exploit Voxelo or its underlying technology

• Use Voxelo, its outputs, or Services to build or train competing products, platforms, or AI models

• Circumvent plan limitations, usage restrictions, or technical safeguards

• Upload malware, interfere with system integrity, or engage in unauthorised access

• Scrape, mine, or harvest Voxelo data using automated tools

Excessive usage or abnormal activity may trigger restrictions, account review, or a request to move to a more suitable plan.

New or Fringe Use Cases

If you have a new, experimental, or edge-case use not clearly covered by your subscription plan or these Terms, please contact hello@voxelo.ai. In many cases, we can support it through an appropriate plan, add-on, or written approval.

API usage must comply with documentation and usage limits. You are responsible for safeguarding your API keys. Voxelo may revoke API access at any time.

5. Privacy

Your data is managed under our Privacy Policy and applicable data protection laws. We collect only what is necessary to operate Voxelo and do not sell personal data.

Data may be transferred internationally under appropriate safeguards.

6. Intellectual Property

All Voxelo software, AI models, pipelines, workflows, designs, and system-generated technology used in the creation of 3D Assets are owned by Voxelo or licensed to us.

Nothing in these Terms limits your ownership or unrestricted use of 2D Assets.

Any feedback you provide may be used to improve Voxelo without compensation.

7. Availability & Updates

We regularly update Voxelo. Features may change, be modified, or removed over time.

While we aim to provide a reliable service, we do not guarantee uptime, availability, or uninterrupted access. Voxelo is provided on an “as is” and “as available” basis. We are not liable for downtime, data loss, or service interruptions.

Voxelo may pause, limit, or suspend the Services for maintenance, security, performance improvements, or operational reasons.

Dependency & Integration Disclaimer

Voxelo may be integrated into third-party platforms, ecommerce stores, or applications (including via embeds, SDKs, APIs, or third-party apps such as Shopify).

You acknowledge that Voxelo is provided as a non-critical, best-efforts service and should not be relied upon as the sole or mission-critical component of any ecommerce, checkout, or transactional workflow.

Voxelo is not liable for loss of sales, revenue, profits, conversion, degraded user experience, or store outages arising from service interruptions, embedded usage, integrations, or platform-specific limitations or changes.

Voxelo does not guarantee compatibility with any specific ecommerce platform, theme, browser, or third-party application.

8. Legal Specifics

Voxelo is provided “as is.” Liability is capped at the fees paid in the last 6 months.

These Terms are governed by the laws of England and Wales. Disputes will be resolved under UK jurisdiction unless otherwise required by law.

If any provision is found invalid, the remainder remains enforceable.
